Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Statotech Systems (Private) Limited(“Statotech”, “we”, “us”, or “our”), a company incorporated under the laws of Zimbabwe. By creating a Statotech Account or using any Statotech product or service, you agree to be bound by these Terms. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.
1. Acceptance of Terms
By accessing statotec.comor any Statotech product (collectively, the “Services”), you confirm that you are at least 18 years old, have read and understood these Terms, and agree to be bound by them and by our Privacy Policy, which is incorporated here by reference.
If you do not agree to these Terms, you must immediately cease using the Services.
2. Description of Services
Statotech builds and operates software products designed for businesses operating in Zimbabwe and the broader African market. Current products include:
- Shop POS — point-of-sale and inventory management for retail
- Menuwise — restaurant operations, menus, and order management
- School ERP — school administration and student information system
- ZimRate — real-time ZWG/USD exchange rate data and alerts
- TorashaOut — event ticketing and management platform
- Health — clinic and patient management software
We may add, modify, or discontinue products or features at any time. Material changes affecting paid subscriptions will be communicated with reasonable notice.
3. Accounts
To use most Statotech products you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Keep your credentials confidential and not share them with others
- Notify us immediately at security@statotec.com if you suspect unauthorised access to your account
- Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for more than 24 consecutive months after providing reasonable advance notice.
4. Statotech Account (Single Sign-On)
Statotech Accountis our unified identity layer that lets you sign in to all Statotech products with one set of credentials. You may create a Statotech Account using an email address and password, or by authenticating through a supported third-party identity provider such as Google (“Sign in with Google”).
4.1 Google Sign-In
When you choose “Sign in with Google”, we request only the email and profile OAuth scopes. We receive your name, email address, profile picture URL, and Google account identifier. We use this information solely to:
- Create and authenticate your Statotech Account
- Display your name and profile picture within the products you use
- Send transactional emails (receipts, alerts, account notifications)
We do not access your Google Drive, Gmail, Google Calendar, or any other Google service beyond what is listed above. We do not use Google account data for advertising or sell it to third parties. Our use of data received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.
4.2 Revoking Google Access
You may disconnect Google Sign-In from your Statotech Account at any time by visiting myaccount.google.com/permissions and removing Statotech, or by contacting us at privacy@statotec.com. Revoking access does not automatically delete your Statotech Account; to delete your account entirely, see Section 14 (Termination).
4.3 Account Security
You are responsible for maintaining the security of your Statotech Account credentials. We recommend enabling two-factor authentication where available. Statotech will never ask for your password via email or phone.
5. Subscriptions & Billing
5.1 Free and Paid Tiers
Some Statotech products offer a free tier with limited features. Access to advanced features requires a paid subscription. Pricing and plan details are published on each product’s pricing page and may be updated from time to time.
5.2 Billing Cycle
Subscriptions are billed monthly or annually in advance. The billing cycle begins on the date you upgrade to a paid plan and renews automatically on the same date each period unless cancelled.
5.3 Payment
We accept payment via supported payment gateways including card payments and mobile money where available. All prices are displayed in USD unless otherwise stated. You authorise us to charge your chosen payment method on each renewal date.
5.4 Refunds
Annual subscriptions are eligible for a prorated refund if cancelled within 14 days of the billing date. Monthly subscriptions are non-refundable. No refunds are issued for partial months. We may make exceptions at our discretion for genuine billing errors — contact billing@statotec.com.
5.5 Late Payment & Suspension
If a payment fails, we will attempt to notify you by email. After a 7-day grace period, access to paid features may be suspended. After 30 days of non-payment, the account may be downgraded to the free tier or terminated, and data may be scheduled for deletion per Section 14.
6. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation of Zimbabwe or any other jurisdiction
- Infringe the intellectual property, privacy, or other rights of any third party
- Upload, transmit, or store malware, viruses, or malicious code
- Attempt to gain unauthorised access to any system, account, or data
- Engage in scraping, crawling, or data harvesting without our prior written consent
- Send spam, unsolicited bulk messages, or conduct phishing campaigns
- Circumvent, disable, or interfere with security features of the Services
- Resell or sublicense access to the Services without written authorisation
- Process data of individuals under 18 without appropriate parental consent
We reserve the right to investigate suspected violations and to suspend or terminate accounts without notice where we reasonably believe a serious violation has occurred.
7. Intellectual Property
7.1 Our Property
The Services, including all software, design, code, content, trademarks, and logos, are owned by Statotech Systems or its licensors and are protected by copyright, trade mark, and other intellectual property laws. Nothing in these Terms transfers any ownership rights to you.
7.2 Licence to Use
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes in accordance with these Terms. This licence terminates immediately upon termination of your account.
7.3 Feedback
If you submit ideas, suggestions, or feedback about the Services, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback without any obligation or compensation to you.
8. Your Data & Ownership
You own your data. Any data you input into a Statotech product — including customer records, transactions, inventory, student records, or other business data — remains your property. We process your data only on your behalf, in accordance with our Privacy Policy.
You grant us a limited, worldwide licence to store, process, and display your data solely to provide and improve the Services you have subscribed to. We do not sell your data and do not use it to train third-party AI models without your explicit consent.
9. Data Portability
You may export your data at any time while your account is active using the built-in export tools within each product (typically CSV or JSON format). If no in-product export is available for a specific data type, you may request a machine- readable export by contacting privacy@statotec.com. We will fulfil export requests within 30 days.
Upon account termination, we will retain your data for 60 days to allow for re-activation or export, after which it will be deleted from our systems in accordance with our data retention schedule.
10. Service Availability
We aim to maintain high availability for all Statotech products but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance where possible. We are not liable for losses resulting from downtime, whether planned or unplanned.
We may temporarily suspend access to the Services or parts thereof to perform maintenance, address security incidents, or comply with legal obligations. We will restore access as promptly as practicable.
11. Third-Party Services
Statotech products may integrate with or link to third-party services (e.g., payment gateways, SMS providers, mapping services). Your use of those third-party services is governed by their own terms and privacy policies. We are not responsible for the practices, availability, or content of third-party services.
Where we share data with third-party processors to deliver our Services (e.g., cloud hosting providers, email delivery services), we do so under data processing agreements that require them to protect your data in accordance with applicable law.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Statotech Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or cost of substitute goods or services, arising out of or related to your use of or inability to use the Services, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for all claims arising out of or related to these Terms or the Services shall not exceed the greater of (a) the total fees paid by you to Statotech in the twelve months immediately preceding the event giving rise to the claim, or (b) USD 100.
Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Statotech Systems and its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Services in violation of these Terms
- Your violation of any applicable law or the rights of any third party
- Any data you submit to the Services that infringes third-party rights or violates applicable law
We reserve the right to assume exclusive control of the defence of any matter subject to indemnification by you, at your expense.
14. Termination
14.1 Termination by You
You may cancel your subscription and close your account at any time from within Account Settings or by emailing support@statotec.com. Cancellation takes effect at the end of the current billing period for paid plans.
14.2 Termination by Statotech
We may suspend or terminate your account immediately and without prior notice if you materially breach these Terms, engage in illegal activity, or if required by law. For less serious violations, we will provide notice and a reasonable opportunity to remedy the breach before termination.
14.3 Effect of Termination
Upon termination, your right to access the Services ceases immediately. We will retain your data for 60 days following the termination date to allow you to export it. After this period, your data will be permanently deleted. Sections 7.1, 12, 13, 15, and 16 survive termination.
15. Governing Law
These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of Zimbabwe, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16. Dispute Resolution
16.1 Informal Resolution
Before initiating any formal dispute process, you agree to contact us at legal@statotec.com and attempt to resolve the dispute informally. We will make a good-faith effort to resolve any complaint within 30 days of receipt.
16.2 Arbitration
If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms, including their formation, interpretation, breach, or termination, shall be finally settled by binding arbitration conducted in Harare, Zimbabwe, in accordance with the Arbitration Act [Chapter 7:15] of Zimbabwe. The arbitration shall be conducted in English by a single arbitrator agreed upon by both parties, or, failing agreement, appointed by the High Court of Zimbabwe.
The arbitrator’s award shall be final and binding. Judgement on the award may be entered in any court of competent jurisdiction. Nothing in this section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.
16.3 Class Action Waiver
You agree that any dispute will be resolved on an individual basis and not as part of a class action, consolidated proceeding, or representative action.
17. Changes to These Terms
We may update these Terms at any time. When we make material changes, we will notify you by email (to the address associated with your account) and by posting a notice within the product, at least 14 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
If you do not agree to the revised Terms, you may close your account before the effective date in accordance with Section 14.1.
